Shared rules for responsible procurement.

These terms explain the roles and responsibilities of buyers, vendors, and MasaMed.

1. Acceptance and eligibility

By creating an account or using MasaMed, a user confirms that they are authorized to act for their organization and will use the service for lawful business procurement.

2. MasaMed's marketplace role

MasaMed provides supplier discovery, RFQ, quotation, messaging, verification-status, and procurement workflow tools. MasaMed does not manufacture, stock, prescribe, recommend, inspect, ship, import, sell, or take title to medical products. It does not process product payments and is not a party to contracts formed between buyers and vendors.

3. Accounts and access

Users must provide accurate account information, protect their credentials, keep access limited to authorized personnel, and promptly report suspected misuse. Accounts and content may be restricted or suspended to protect users, investigate misuse, comply with law, or preserve marketplace integrity.

4. Buyer responsibilities

Buyers must submit accurate, non-patient requirements; assess each vendor independently; confirm identity, authority, licensing, product registration, certifications, specifications, availability, and suitability; and agree all pricing, delivery, inspection, payment, warranty, import, tax, and return terms directly with the chosen vendor.

5. Vendor responsibilities

Vendors must keep company, catalog, quotation, and verification information accurate and current; quote only products they are authorized and able to supply; disclose exclusions and validity periods; and maintain every licence, registration, authorization, and certification required for the product and destination.

6. Verification and directory listings

A directory listing, imported catalog profile, or active status does not mean the vendor is verified. A verification badge means only that MasaMed operations approved selected evidence submitted through the platform at a point in time. It is not regulatory approval, product certification, legal advice, endorsement, warranty, or a guarantee of identity, licensing, performance, solvency, pricing, availability, or delivery.

7. RFQs, quotations, and commercial agreements

RFQs are invitations to respond, not purchase commitments. Quotations remain subject to their stated validity and conditions. Any purchase, payment, shipping, customs, inspection, warranty, return, cancellation, or dispute arrangement is agreed directly between buyer and vendor.

8. RFQ Credits

RFQ Credits are fixed-purpose service entitlements that may allow a vendor to submit a first quotation. They are not money, stored value, payment to another user, or an investment. They are non-transferable, non-tradable, non-withdrawable, and non-refundable for cash, and do not affect verification or supplier ranking.

9. Acceptable use

Users must not submit patient data; impersonate another person or organization; upload malicious, unlawful, misleading, infringing, or unsafe material; manipulate verification or marketplace results; scrape or disrupt the service; evade access controls; or use the platform to facilitate unlawful trade.

10. User content and intellectual property

Users remain responsible for content they submit and confirm they have the right to use it. They authorize MasaMed to host, process, display, and share that content only as reasonably needed to operate the platform and its buyer-vendor workflows. MasaMed branding, software, and original service materials remain protected.

11. Availability and disclaimers

Service availability may be affected by maintenance, technical issues, or events outside MasaMed's control. Marketplace information is supplied by users or imported sources and should be independently verified. To the extent permitted by applicable law, the service is provided without guarantees of uninterrupted access, accuracy, merchantability, fitness, or transaction outcome.

12. Liability, law, and disputes

Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded under applicable law. Buyers and vendors are responsible for resolving disputes about their commercial agreements directly with each other. For concerns about use of the platform, contact info@masamedical.com.

13. Changes

These terms may be updated as the service changes. Material changes should be communicated before they apply. Continued use after an effective update may constitute acceptance where permitted by law.
